About Us

SteornLab products are sold by Steorn Limited, ("Steorn"), a company incorporated in Ireland with company registration number 330508 and having its principal place of business at Unit 18, Docklands Innovation Park, East Wall Road, Dublin 3, Ireland.

In these Terms and Conditions, "Website" refers to www.steorn.com, references to "you" or "your" means the person submitting an order via the Website and "we", "us" and "our" are references to Steorn.

SteornLab products are supplied on a business-to-business basis and are not for use by consumers.

Placing an Order

Every order placed via our Website will be subject to acceptance by Steorn. We reserve the right to decline any order without providing a reason for doing so, regardless of whether payment has been received by us. Should we decline an order where payment has been received, the payment will be refunded in full.

Upon placing an order you will receive an email from us to confirm its receipt. This email does not constitute acceptance by us of your order.

Acceptance by us of any order and the formation of a contract between you and Steorn will only be deemed to have occurred upon dispatch by us of your order confirmation. Once we send you an order confirmation you will not be able to cancel your order. Title to the product(s) will pass from us to you upon delivery.

Pricing

All prices on our Website are exclusive of the prevailing rate of Irish VAT, which is currently 21.5%. All prices are charged in Euros. We may display approximate foreign currency equivalents but these are for indicative purposes only and may therefore differ from the final price your payment card issuer charges you.

If you are located outside of the European Union, there may be additional customs taxes and duties payable in your jurisdiction. Payment of these is your responsibility so you should satisfy yourself as to the nature and level of any potential charges before submitting an order.

Order Processing and Payment

Steorn endeavours to keep all product and pricing information accurate and up-to-date but errors may still occur. If we identify such an error in an order you have submitted to us, we will contact you prior to accepting the order. You may choose to cancel the order or proceed on the basis of the corrected information. Should we be unable to contact you, the order will be cancelled.

Steorn's payment card processor from time to time may accept payment cards including Visa, MasterCard, American Express and Laser. However, cash, cheques or money orders are not accepted. There are occasions when certain jurisdictions may be placed on sanction lists by payment card companies, acquirers and/or governments. This may occur for various reasons, for example high levels of Internet fraud. Accordingly, an order placed with a credit card and/or billing address from any of these jurisdictions may be refused.

Delivery

All products are dispatched from our main office in Dublin, Ireland. Delivery charges will depend on your destination. Delivery charges will be shown to you before submitting an order. If you have provided us with an incorrect delivery address or you are not available to receive the delivery we reserve the right to impose any resultant additional delivery costs. All deliveries must be signed for.

Returns

To return a faulty product, please refer to the warranty information supplied with the product.

If you wish to return a non-faulty product, returns will only be accepted within 7 working days of receipt by you. You must obtain a Return Material Authorisation (RMA) from us before you return the product. You are responsible for the product until it is received by us. All packaging must be intact, all accessories must be included and the product must be intact and unused. Return shipping is at your expense and there is a 15% restocking charge. Refunds will be made within 30 days of receipt by us. Please note that any refund will be for the product cost only, delivery charges will not be refunded.

Waste Electrical and Electronic Equipment (WEEE) Regulations

The WEEE Regulations apply to customers located in the EU. Please refer to our WEEE Statement which forms part of these Terms and Conditions.

Personal Information and Security

All personal information you give us as part of an order will be treated in accordance with our Privacy Statement.

Export Control

You are advised that products, which may include technology and software, are subject to EU and US export control laws and laws of the country where they are delivered or used. Under these laws, products may not be sold, leased or transferred to restricted end users or countries or for restricted end uses. You acknowledge and accept that it is your responsibility to familiarise yourself with, and abide by, these laws.

Limitation Of Liability

To the extent not prohibited by law, in no event shall Steorn be liable for damages of any type, including but not limited to, any lost profits, loss of data, or for any incidental, special, indirect or consequential damages arising out of or relating to our obligations under these Terms and Conditions, even if Steorn has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any remedy. Some jurisdictions do not allow the limitation of liability of incidental or consequential damages, so this limitation may not apply to you. In no event shall Steorn's total liability to you for all damages (other than as may not be disclaimed under applicable law) exceed the price paid by you for your product(s). The above limitations shall not apply where death or personal injury arise as a direct result of Steorn's proven negligence.

Waiver; Construction

Failure by Steorn to enforce any provision of these Terms and Conditions will not be deemed a waiver of future enforcement of that or any other provision. Any law or regulation which provides that the language of a contract shall be construed against the drafter will not apply to these Terms and Conditions.

Transferability

Steorn may assign, novate or otherwise transfer its rights and obligations under these Terms and Conditions at its sole discretion. You may not assign or transfer your rights and obligations under these Terms and Conditions without Steorn's express written permission.

Entire Agreement

These Terms and Conditions, together with applicable product warranties and licenses form the entire agreement between you and Steorn. Each party agrees, acknowledges, and expressly warrants that no information, statement, promise, representation, warranty, condition, inducement, or agreement of any kind, whether oral or written, made by or on behalf of any other party shall be, or has been, relied upon by it unless specifically contained and incorporated herein. Any contracts formed as a result of you submitting an order and Steorn accepting it shall be governed by Irish law.

Convention

The application of the United Nations Convention on Contracts for the International Sale of Goods is hereby expressly excluded.

Severability

If any of the provisions of these Terms and Conditions, or portion thereof, is found by an arbitrator, court or other competent authority to be void or unenforceable, that provision, or portion thereof shall be enforced to the maximum extent permissible so as to effect the economic benefits and intent of the parties, and the remaining provisions shall continue to apply.

Amendments

We reserve the right to amend these Terms and Conditions from time to time at our sole discretion. Any changes will be posted on our Website. These Terms and Conditions are effective as of 26 January 2009 and supersede all previous Terms and Conditions.
